STRUCTURAL WORK AGREEMENT
This Structural Work Agreement ("Agreement") is entered into this 22nd day of
June, 2010; by and between True Value Company, a Delaware corporation with
its principal place of business at 8600 West Bryn Mawr Avenue, Chicago, Illinois
60631-3505 ("Owner"), and RoofToppers, with its principal place of business at
5709 NE 88tn Street, Vancouver WA 98665 ("Contractor").

and B per the re-roofing specifications packaged by Kenderson Incorporated, the
roofing system manufacturer's requirements. and the following:

3. COST: Subject to 10% retention under S,ection 11
hereunder and it is a specific condition precedent of payment by Owner to
Contractor.
4. INSURANCE: Contractor shall. furnish Owner with a Certificate of
Insurance including coverage and minimum limits as follows:
a. Worker's Compensation: Statutory, including employers liability for
. limits of $500,000 each accident, $500,000 policy limit for disease, $500,000
each employee, disease;
b. Commercial General Liability (including Bodily Injury and Property
Damage, Completed Operations, Broad Form Property Damage, Contractual
Liability and per jobsite aggregate endorsement): (i) General Aggregate
$2,000,000; (ii) Products/Completed Operations $1,000,000; (Iii) Personal Injury
$1,000,000; (iv) Each Occurrence $1,000,000; (v) Fire legal liability Damage
$100,000 and (vi) Medical Expense $5,000; and
c. Commercial Automobile: Bodily Injury and Property Damage
$1,000,000 CSL.
d. Umbrella coverage of $5,000,000 in liability coverage.
e. Contractor to name Owner, and others if requested by Owner, as
additional insured. The coverage afforded the additional insureds under this
policy shall be primary insurance. If the additional insured has other insurance
which is applicable to the loss, such other insurance shall be on an excess and
non contributory. The amount of the company's liability under this policy shall
not be reduced by the existence of such other insurance.
e. The failure of Contractor to fumish the required certificate, or its
renewal, shall not relieve the Contractor of its responsibilities to obtain the
required insurance.

Owner's Field Superintendent. The Contractor understands that the materials
described herein are for the structure mentioned as about to be erected or in the
process of construction or reconstruction, and that time is of the essence of this
contract in respect to delivery, installation, erection and otherwise, If the
Contractor consists of more than one person, the Contractor's obligation
hereunder is joint and several.
7. WARRANTY: The Contractor agrees that materials shall conform
strictly to drawings and specifications, to furnish all materials at the building site
within time specified herein, with all necessary certificates and permits (except
building permit) for installing and erecting same and to install and erect same and
complete said work within time specified, according to said drawings and
specifications and to satisfaction of Architect and Ower; to furnish all scaffold,
tools and equipment (including equipment for hoisting) that may be necessary to
do his work properly and expeditiously; to remove any defectivematerials or
work forthwith on notice from Architect or Owner, and he shall bear the expense
of making good all work of other Subcontractors or the Contractor which is
destroyed or damaged by such removals and replacements; to perform work
entirely at Contractor's risk; to provide sufficient and necessary safeguards
against all injuries and damages whatever and to comply with all safety
requirements imposed by law; to procure insurance policies in companies
satisfactory to the Own'er protecting against loss from injuries to the public,
injuries to workmen (including Workmen's Compensation insurance), damage to
property, including that of third parties, and other insurance necessary in Owner's
opinion for complete protection of Owner and Contractor, including fire insurance
on all materials prior to incorporation in the structure, and to keep the same in
force as long as may be necessary fully to protect any of the above or until
completion and acceptance of the structure as a whole; and at all times to fully
indemnify Owner against any and all liability, claims, suits, or actions arising out
of his work, including any costs, attorney's fees, and incidental damage resulting
there from.
8, INDEMNITY: Contractor further agrees to protect and fully
. indemnify the Owner against all liability for claims and liens for labor, materials,
appliances, equipment, and supplies whatsoever, including any costs, attorney's
fees, and incidental damage resulting there from; to indemnify Owner against any
claim, suit or action, for any alleged violation or infringement of patent rights
concerning said materials or equipment; to comply with all laws, ordinances and
regulations of all governmental authorities in any manner relating to said work;
not to assign or sublet this contract or any portion thereof; to employ labor under
conditions satisfactory to the Owner and to discontinue the employment of any
employee or employees unsatisfactory to the Owner; to commence the work of
installation and erection specified forthwith on notice from the Owner..and to
proceed with sufficient labor and equipment continuously to completion and in
default thereof to permit the Owner immediately upon notice and demand to take

possession of the work forthwith and complete same at Contractor's cost or
expense,
9. PAYMENT: The compensation payable to the Contractor as
herein provided includes all sales, use, franchise, excise and other taxes and is
not subject to any addition on account of taxes now or hereafter levied. The
Contractor is an independent contractor within the purview of the Internal
Revenue Code, the Federal Social Security Act and any and all unemployment
insurance laws, both State and Federal, and is solely responsible to the Federal
and State Governments for all payroll taxes, deductions, with holdings and
contributions under such laws,
10. DRAWINGS; Drawings and specifications are incorporated as part
of this agreement. The Contractor shall report to the Owner in writing any
discrepancy or errors which come to his attention either in the drawings and
specifications or on the work and the installations of the Contractor's work will be
considered evidence of his acceptance of the conditions as being correct and to
his approval. The entire responsibility for proper dimensions for prefabrications
of any part of the work shall rest with the Contractor.
11. PAYMENT: The Owner agrees in consideration of the full and
complete performance of the said work by the Contractor in accordance with the
terms and provisions hereof, to payor cause to be paid to the Contractor the sum
above stated under Section 3 less retention. The retention shall be paid after
Owner accepts project as complete. The Owner will allow Contractor progress
payments at the intervals, in the ratio and to the exlent such payments are made
to the Contractor pursuant to the terms of the general contract. All requests by
the Contractor for progress payments must be delivered to the Owner at its
principal office on or before the 15th day of the calendar month in order to be
processed for payment on or after the last day of the succeeding month.

12. MODIFICATIONS: The Contractor shall make no changes in the
work nor shall he be entitled to any additional compensation unless first
authorized in writing by the Owner.
13. BOND: Contractor shall furnish a performance or payment bond or
both, the expense thereof to be borne by the Contractor.

14. CLEANUP; The Contractor shall do all cleanup necessitated by
his operations. Failure to do so will cause him to be subject to back charge by
Owner for doing cleanup.
15. COMPLIANCE WITH LAWS: Contractor agrees to observe and
. comply with all provisions and requirements of the Occupational Safety and
Health Act of 1970, as amended, in performance of the work under this
subcontract, to assume all responsibilities of the Contractor with respect to the
work under this contract, and to indemnify and hold harmless the Owner from all
penalties, damages or other loss resulting from failure of Contractor in
performance of this contract to comply with the Occupational Safety and Health
Act of 1970, as amended, and the responsibilities with respect to such
performance,
16. GUARANTY: Contractor guarantees his work for a period of one
year following a date of frnal acceptance of the work. The Contractor shall
maintain the Owner clear of all expense for replacement of such defective work,
and for the repair of all damages to other work which may have resulted because
of such defective work.
17 . ATTORNEY'S FEES: Owner shall be entitled to reimbursement of its
attorney's fees, together with reasonable costs and expenses related thereto, for
any and all actions taken in enforcemen't of its rights herein, including
proceedings on appeal.
18. ENTIRE AGREEMENT: This Agreement constitutes the entire
Agreement between the parties and supersedes all previous Agreements,
negotiations, commitments and writings relating to the subject matter hereof,
This Agreement may not be modifred except by a writing referencing this
Agreement and signed by both of the parties hereto.
19. NO WAIVER: No failure or delay by either party hereto to exercise
any right, power or privilege provided hereunder or under applicable law shall
operate as a waiver thereof, The remedies provided herein shall be cumulative
. and shall not be exclusive of any rights or remedies provided by law.
20. WARRANTY OF AUTHORITY: Each party represents and warrants to
the other that it has the requisite power and authority to execute and deliver, and
to perform its obligations under, this Agreement and that this Agreement has
been duly authorized, executed and delivered by such party and constitutes a
valid and binding obligation of such party enforceable against such party
according to its terms_
21. SEVERABILITY: Both parties expressly agree that it is not the intention
of either party to violate statutory or common law and that if any section,
sentence, paragraph, or clause is in violation of any law, such section, sentence,

paragraph or clause shall be inoperative, and the remainder of this Agreement
shall remain binding upon the parties.
22. NON ASSIGNMENT: Contractor may not assign the whole or any part
of this Agreement without Owner's prior written consent.
IN WITNESS WHEREOF Owner and Contractor have executed this agreement
on the day and year first above written.
