D. Part of the consideration of the sale by Western and purchilsc by Wagenknecht or
Pnrcc1 3 is that the parties cnter into l'l Utility Easement Agreement regarding the utilities.
Exhibit "e" attached herelo depicts all or a part of Parcel 2 and Parcel 3, and the utility lines that

AGREEMENT
NOW, THEREFORE, the parties agree as follows: l'
I. The Recitals set forth above arc. incorporated herein and made a part of Ihl.:
agreement of the parties.
2. Wagenknecht docs hereby grant and convey to Western a pcrpctuul non-exclusive
casement over, under and across Parcel 3 in thl' arcas designated on th~ attached Exhibit "C"
("Utility,PI:Ul") for waler line purp05l.:S, stlI1itury sewer line purposes, and storm sewer purposes.

3. Western docs hereby grant and convey to 'Wagenknecht a perpetual-and"non-
cxdusivc casement over, Wider and across Parcel 2 in the areas dcsign::llcd on the attached
Exhibit "e" ("Utility Plan") for storm sewer purposes. -

4, Wagenknecht docs hereby grant and convey 10 WesLern a non-exclusive casement
oYer, under and across Pnrcel3 for a cOlltrol box at the location described on the attached Exhibit
D for Western's irrigation system, and from snid location across Parcel 2 to Parcel 3 for the
irrigation pipelines running from said control box \0 Pilleel 2. Should subsequent remodeling,
landscaping, street widening, Or uny other act render the' irrigation system obsolete, this casement
shall terminate and Western shall execute and delivery such reasonable documents as
. Wngcnknccht may request 10 remove !he existence of tltis irrigation system easement from Lhe
public records. "

5. The casements granted herein include the right to place, replace, niaintnin and
repair lU1derground pipelines, and includes the right of access to Purcel 2 and 3, as reasonably
necessary, for each party's use, enjoyment, operation and maintenance of the eascmcnls hereby
granted, and eac~ party hereto agrees to restore the other party's Parcel to the condition existing
prior to the exercise of its rights under this casement agreement.
6. This agreement shall be binding upon and inure to the benefit of the parties herelo,
their heirs, personal representatives, succeSSors ilnd assigns, and shall benefit, burden, be,
upplJrtcnant 10, and run \'lith the ticle to Parcel 2 and Parcel 3.
