AN ORDINANCE ADOPTING A NEW ARTICLE 21 OF CHAPTER I OF THE
SPRINGFIELD CITY CODE 1965 PERTAINING TO THE SPRINGFIELD MUSEUM,
PROVIDING FOR A BOARD OF DIRECTORS AND FOR ITS ORGANIZATION AND
PROCEDURES.
THE CITY OF SPRINGFIELD DOES ORDAIN AS FOLLOWS:
section I: There shall be added to the Springfield Code 1965 a new
Article 21 of Chapter I to read as follows:
1-21-1 Board--Continuation. There is hereby established a
Springfield Museum Board of Directors.

1-21-2 Board--Purpose. The purpose of the Springfield Museum
Board of Directors is to create more citizen participation in
Museum activities, to increase the visibility of the Museum in the
community, to set policy, to raise funds, to develop long-range
plans, to develop and administer a budget, to maintain stable board
membership and to work with the Museum Committee.
1-21-3 Board--Membership. There shall be nine members on the
Springfield Museum Board of Directors, who shall be recommended by
the Springfield Museum Board of Directors and confirmed by the
Common Council. A board member shall hold office for a period of
four years. Terms shall be staggered to provide overlapping and
continuity. All appointments to the Museum Board of Directors may
be terminated at the discretion of the Common Council. Board
members shall be known officially as the "springfield Museum Board
of Directors" and individually board members shall be known as
"directors."
1-21-4 Board Qualifications. Members appointed under the
provisions of this ordinance shall be citizens of the United States
and residents and registered voters of the State of Oregon. In
making appointments the Council shall strive to attain a balance of
legal, financial management, marketing, arts, fundraising, business
and community involvement skills and experience on the Board.
1-21-5 Board Vacancies. Any vacancy on the board shall be
reported to the Common Council and shall be filled by nomination
and appointment. The appointment shall be for the unexpired term
of the position being filled. If a director has more than three
consecutive absences, the Board of Directors may declare that

1-21-6 Board Resiqnation. A director may resign at any time by
delivering written notice to the Springfield Museum Board of
Directors, its presiding officer or to the president or secretary.
1-21-7 Officers. The Springfield Museum Board of Directors shall
have a president, secretary and other such officers as are
appointed by the board. The board shall delegate to one of the
officers responsibility for preparing minutes of the directors'
meetings. An officer may resign at any time by delivering notice
to the board. The board may remove any officer at any time with or
without cause.
1-21-8 Meetinqs. The Springfield Museum Board of Directors shall
meet at least once a month, at such time and place to be fixed by
the board. Special meetings may be called in accordance with
public meeting law by the president or vice-president.
1-21-9 Quorum. Two-thirds of the appointed members shall
constitute a quorum. If a quorum is present, all matters shall be
decided by a vote of the majority then present and voting.

1-21-10 Budqet. The Museum Coordinator and the chair of the
springfield Museum Board of Directors shall, on or before March 1
of each year, prepare a budget for the operation of the springfield
Museum. The proposed budget shall be submitted to the City of
Springfield Budget Committee as part of the Development Services
Department budget.
1-21-11 Admissions and Fees. Any admission or other fees for use
of the Springfield Museum shall be recommended by the board and
adopted by Common Council.
1-21-12 Rules. The Springfield Museum and its operation shall be
subject to such reasonable rules and regulations as the board of
directors adopt and publish in order to retain the use of the
Museum for the greatest benefit to the greatest number. The
springfield Museum Board of Directors, by its rules and
regulations, may exclude from the use of the Museum any and all
persons who wilfully violate such rules and regulations. All the
rules and regulations for the use and operation of the Museum shall
be recommended by the board of directors and adopted by Common
Council. The Springfield Museum Board of Directors may extend
privileges and use of the Museum to nonresidents upon such terms
and conditions as the board prescribes.
1-21-13 Reports. On or before January 30 of each year the board
of directors shall make an annual report to the Common Council
reporting on the operation of the Springfield Museum and its use by
the public during the previous year.

1-21-14 Donations. The board of directors may accept donations
of money, personal property or real estate for the benefit of the
Museum upon such terms and conditions as may be prescribed by the
board of directors and in accordance with applicable law.

1-21-15 Staff. The City Manager shall appoint museum supervisory
personnel. Regarding such appointments, the city Manager shall
consult with the board of directors, particularly with respect to
the position of coordinator. The principal staff to the board of
directors shall be the Museum Coordinator.
1-21-16 Financial Responsibility. The springfield Museum Board of
Directors shall provide long-range financial planning as well as
fund-raising support for the Museum.
1-21-17 Open Meetinqs. All meetings shall comply with ORS
192.640, the Oregon Public Meeting Law.
1-21-18 BY-Laws. The by-laws of the springfield Museum Board of
Directors shall be approved by Common Council."
Adopted by the Common Council of the City of Springfield by a
vote of 5 for and 0 against this 20th day of
April , 1992.
Approved by the Mayor of the city of springfield this 20th
