RESOLUTION 98 - ~
APPROVAL OF THE TRANSFER OF CONTROL OF TCI CABLEVISION OF
OREGON, INC.
WHEREAS, the Council, by enacting Ordinance No. 5567, granted TCI Cablevision of
Oregon, Inc. a non-exclusive franchise to operate a cable television system in the City of Springfield
("City") on May 20, 1991; and
WHEREAS, On September 2, 1998, TCI Cablevision of Oregon, Inc. gave notice to the
City, and to the city of Eugene and Lane County, of a proposed change in control that would result
from a merger between TCI, the local franchisee's parent, and AT&T, and requested that the City
consent to the transfer of control; and
WHEREAS, the request of TCI Cablevision of Oregon was accompanied by certain
additional information and material relating to the merger and to the proposed change in control; and
WHEREAS, as provided in the franchise agreement, on September 28, 1998 the City
requested the Metropolitan Policy Committee (MPC) to conduct an inquiry into the proposed merger
of TCI and AT&T; and
WHEREAS, by a letter dated November 25, 1998, AT&T responded to questions presented
by the Lane Council of Governments staff pursuant to the inquiry authorized by MPC, and gave
certain assurances with respect to the proposed transfer of control; and
WHEREAS, the Council has received a copy of AT&T's response and further information
and explanations from staff and, being fully informed does hereby find and determine, in reliance
on the accuracy of the material supplied by TCI Cablevision of Oregon, Inc. and AT&T, and the
assurances provided by AT&T, that approval of the transfer of control would be consistent with the
terms of the franchise;
NOW THEREFORE, BE IT RESOLVED that the City of Springfield hereby consents to
the acquisition of control ofTCI Cablevision of Oregon, Inc. by AT&T, through the merger ofTCI
and AT&T under the terms set forth in the September 2, 1998 notice from TCI Cablevision of
Oregon, Inc., and the information material and other assurances provided by AT&T.
Adopted by the Common Council ofthe City of Springfield, Oregon, this 14 th day of
December , 1998.
