CITY OF SPRING~IELD, OREGON
RESOLUTION NO. 07-14
A RESOLUTION AUTHORIZING THE ASSIGNMENT OF CERTAIN OPTION AGREEMENTS
AND AGREEMENTS OF PURCHASE AND SALE TO THE SPRINGFIELD ECONOMIC
DEVELOPMENT AGENCY, AN URBAN RENEWAL AGENCY OF THE CITY OF
SPRINGFIELD, AND THE AGENCY/S SUCCESSORS AND ASSIGNS.
WHEREAS, the City of Springfield has entered into certain Option Agreements
and Agreements of Purchase and Sale, more particularly described and set forth in
Exhibit A attached hereto and incorporated herein by reference; and,
WHEREAS, the City of Springfield has ~stablished the Springfield Economic
Development Agency, an Urban Renewal Agency of the City of Springfield which seeks
to stimulate economic growth in the Glenwood area of Springfield; and,
WHEREAS, it was the intent of the City of Springfield to facilitate the Springfield
Economic Development Agency by assisting in the assembly of options on real property
toward the goal of securing the siting of major economic development in Glenwood;
and,
WHEREAS, the assembling of options by the City of Springfield and.the
assignment of said options to the Springfield Economic Development Agency will aid
and promote that goal.
NOW THEREFORE BE IT RESOLVED, by the Common Council of the City of
Springfield as follows:
1. The City Manager of the City of Springfield is hereby authorized to execute the
attached Assignment of Option and Agreement of Purchase and Sale assigning
certain Option Agreements and Agreement of Purchase and Sale to Springfield
Economic Development Agency, an Urban Renewal Agency of the City of
Springfield including specifically those Option Agreements and Agreements of
Purchase and Sale more particularly described and set forth in Exhibit A attached
to the Assignment.

2. This resolution shall take effect on April 23, 2007.

FOR VALUE RECEIVED, the undersigned City of Springfield, a Municipal Corporation of the State of Oregon, who
is the Optionee under those certain Option Agreements and Agreements of Purchase and Sale more particularly described
and set forth in Exhibit A (attached hereto and incorporated herein by reference) hereby grants, assigns, transfers and
sets over to Springfield Economic Development Agency, an Urban Renewal Agency of the City of Springfield, and the
Agency's successors and assigns, all of the interest of the City of Springfield in and under said Option Agreements and
Agreements of Purchase and Sale together with all benefits, rights and obligations therein described or referred to and all
rights, obligations and benefits whatsoever accrued or to accrue under the Option Agreement and Agreement of Purchase
and Sale.
The undersigned City of Springfield hereby covenants to and with the Springfield Economic Development Agercy
that the City of Springfield is the Optionee under each of the Option Agreements and Agreements of Purchase and Sale
more particularly described and set forth in Exhibit A and is the owner and holder of all of Optionee's interests therein and
has the right to sell, transfer and assign the same.
In construing this instrument, and whenever the context so requires the singular includes the plural.
