REQUESTED: Approve Amending Contract C3166 from $26,000 to $44,000 to accommodate
needed additional services
ISSUE
STATEMENT: The requested contract amendment will increase Contract C3166 by 69%, The
magnitude of this change exceeds 30% change Staff can approve without Council
approval.

DISCUSSION/ This amendment is necessary to complete and properly design the ARPA funded
FINANCIAL improvement to the Council Chambers. Funds are available in 204 96200 9000
IMPACT: 931222.

The Parties hereby agree that the Contractor Agreement dated August 5, 2022 between the
City of Springfield (City) and Robertson Sherwood Architects is hereby amended for the second
time as follows:

1. Services to be Delivered. Contractor shall perform the Services and deliver to the City the
Deliverables specified in Attachment 1, and Attachment 2. The Statement of Work
(Attachment 1 and Attachment 2) includes the delivery schedule for the Deliverables and
Services. Contractor will perform the Services in accordance with the terms and conditions
of this Contract.
2. Payment by City. Then maximum, not -to -exceed compensation payable to Contractor
under this Contract, which includes any allowable expenses, is $44,000 ($26,000 from
original contract and $18,000 from ASR #1).City will not pay Contractor any amount in
excess of the not -to -exceed compensation of this Contract and will not pay for Services
performed before the Effective Date or after the expiration or termination of this Contract. If
the maximum compensation is increased by amendment of this Contract, the amendment
must be fully effective before Contractor performs Services subject to the amendment. City
will pay Contractor for only for completed Deliverables and Services performed according to
the schedule and rates in Attachment 1 and Attachment 2.
Except as amended herein, all other terms and conditions of the Independent Contractor
Agreement between Parties dated August 5, 2022 will remain in full force and effect.
