ISSUE The Human Services Commission (HSC) is an intergovernmental committee made STATEMENT: up of Lane County, Eugene, and Springfield elected officials, which collectively manages the funding of human services. For FY22, City Council approved $100,548 in Community Development Block Grant (CDBG) funds to support the HSC. ATTACHMENTS: Attachment 1: FY22 Lane County IGA for Human Services DISCUSSION/ The Human Services Commission is an intergovernmental commission comprised FINANCIAL of Springfield, Eugene, and Lane County elected officials and budget committee IMPACT: members to address basic needs of low-income residents. Springfield, Eugene, and Lane County pool their state and federal grants and general fund contributions to be administered by the HSC. The HSC then contracts with public and nonprofit human service providers who serve specific community needs. 100% of Springfield's CDBG allocation goes directly to the service providers and is not used to pay for Lane County staff to administer the grants. This allocation will pay for the staff delivery costs at four local nonprofits serving low-income residents in Springfield: Catholic Community Services, Food for Lane County, Relief Nursery, and Hope and Safety Alliance (formerly WomenSpace). This IGA authorizes payment of Springfield's CDBG allocation to the HSC for FY22. INTERGOVERNMENTAL AGREEMENT FOR USE OF COMMUNITY DEVELOPMENT BLOCK GRANT FUNDS FOR HUMAN SERVICES BETWEEN: City of Springfield, a unit of local government of the State of Oregon (SPRINGFIELD) DUNS #046280525 AND: County of Lane, a unit of local government of the State of Oregon (LANE COUNTY) DUNS #030786248 EFFECTIVE DATE: July 1, 2021 CONTRACT NUMBER: Lane County 56651 THIS Agreement is made and entered into by the CITY OF SPRINGFIELD, a municipal corporation of the State of Oregon, and the LANE COUNTY, a political subdivision of the State of Oregon, hereinafter referred to as SPRINGFIELD and COUNTY, respectively. A. ORS 190.010 and the Lane County Home Rule Charter provide that units of local government may enter into agreements for the performance of functions and activities that a party to the agreement, its officers or agencies, have authority to perform. B. SPRINGFIELD desires to enter into a subrecipient agreement with COUNTY for use of Community Development Block Grant (CDBG) funds, CFDA No. 14.218, FAIN# B -21 -MC - 41 -0002, Federal Award Date 6/16/21, Program Year 7/1/21-6/30/22, in support of human services that address the needs of low-income persons residing within the City of Springfield. C. SPRINGFIELD and COUNTY desire to enter into an agreement to allow for reimbursement of eligible CDBG costs incurred by subrecipients of the COUNTY up to $100,548 for services provided between July 1, 2021 and June 30, 2022. D. COUNTY will use CDBG funds according to the terms and conditions set forth herein and in the following exhibits: Exhibit A Scope of Work and Budget Exhibit B Performance of Management Activities Exhibit C CDBG Regulations and Requirements Exhibit D Client/Households Data Report Exhibit E FFATA Form Attachment 1, Page 1 of 13 AGREEMENT 1. Use of CDBG Funds for Human Services. SPRINGFIELD agrees to reimburse COUNTY for up to $100,548 in CDBG funds for eligible costs for human services provided to low- income persons residing within the City of Springfield. Services shall be provided by subrecipient agencies of the COUNTY as described in Exhibit A. COUNTY's Department of Health and Human Services shall be responsible for the general administration and management of the human services program including service planning, monitoring, evaluation, and reporting of contracted services as described in Exhibit B. 2. Time for Completion. COUNTY may request reimbursement for eligible costs incurred between July 1, 2021 and June 30, 2022. 3. Consideration. Payment requests shall be based on actual costs incurred by COUNTY. Payment requests shall be accompanied by documentation of actual expenses for eligible CDBG public service activities. Request for payment must be made by July 30, 2022. 4. Contract Administration. Reporting, Records, and Inspection. COUNTY shall provide client beneficiary and financial reports to SPRINGFIELD in accordance with federal requirements identified in Attachments C, D, and E. COUNTY shall maintain records of its charges and supporting documentation under this contract for a period of not less than five full fiscal years. COUNTY shall make its records available upon request for monitoring by SPRINGFIELD and HUD as needed. 6. Indemnification. To the extent allowed by the Oregon Constitution and the Oregon Revised Statutes, each of the parties hereto agrees to defend, indemnify, and save the other harmless from any claims, liability or damages including attorney fees arising out of any error, omission or act of negligence on the part of the indemnifying party, its officers, agents, or employees in the performance of this agreement. 7. Status. In providing the services specified in this agreement (and any associated services) both parties are public bodies and maintain their public body status as specified in ORS 30.260. Both parties understand and acknowledge that each retains all immunities and privileges granted them by the Oregon Tort Claims Act (ORS 30.260 through 30.300) and any and all other statutory rights granted as a result of their status as local public bodies. Attachment 1, Page 2 of 13 8. Subcontracting. COUNTY shall enter into subrecipient agreements with agencies to perform eligible CDBG public services in accordance with the scope of services provided in Attachment A and HUD rules and regulations provided in Attachment C. All provisions of this agreement shall apply to subrecipient agreements between the COUNTY and agencies performing CDBG public services. 9. Assignment. COUNTY shall not assign this contract, in whole or in part, or any right or obligation hereunder, without SPRINGFIELD's prior written approval. 10. Compliance with Laws. Both parties shall comply with all applicable federal, state, and local laws, rules, ordinances, and regulations at all times related to CDBG public service activities and subrecipient requirements including but not limited to those described in Exhibit C. 11. Conflict of Interest. No persons, as described in the following paragraph, who exercise or have exercised any functions or responsibilities with respect to activities assisted with CDBG funds covered in this contract, or are in a position to participate in the decision- making process or gain inside information with regard to such activity, may obtain a personal or financial interest or benefit from a CDBG assisted activity, or have an interest in any contract, subcontract or agreement with respect thereto, or the proceeds thereunder, either for themselves or those with whom they have family or business ties, during their tenure or for one year thereafter. Persons covered in the conflict of interest provisions above include any person who is an employee, agent, consultant, officer, or elected official or appointed official of the COUNTY and its subrecipients. 12. Financial Procedures. Both parties shall comply with the requirements and standards of 2 CFR 200 and 225 and those described in Attachment C. 13. Notices. Any notices permitted or required by this contract shall be deemed given when personal delivered or upon deposit in the United States mail, postage fully prepaid, certified, return receipt requested and addressed to the representative designated in Section 4. In addition, if directions for telephonic or electronic transmission (fax or email) are set forth below, notices may be delivered by fax or email. Notices sent by certified mail will be deemed delivered three business days after placement in the mail and notices sent by fax or email will be deemed when successful transmission is electronically confirmed. 14. Arbitration. Any controversy regarding the terms and conditions of this agreement shall be submitted to arbitration. Any party may request arbitration by written notice to the other. If the parties cannot agree on a single arbitrator within fifteen days from the giving of notice, each party shall within five days select a person to represent that party and the two arbitrators shall immediately select a third impartial person to complete a three member arbitration panel. If the two arbitrators cannot agree within fifteen days on the third arbitrator, then either party may petition the Presiding Judge of the Lane County Circuit Court to select the third arbitrator. The panel shall conduct the arbitration in accordance with the provisions of ORS Chapter 33, or the corresponding provisions of any such future law. The arbitrator(s) shall assess all or part of the cost of the arbitration, including attorney fees, to any or all parties. 15. Integration. This contract embodies the entire agreement of the parties. There are no promises, terms, conditions or obligations other than those contained herein. This contract shall supersede all prior communications, representations or agreements, either oral or written, between the parties. This contract shall not be amended except in writing, signed by both parties. Attachment 1, Page 3 of 13 16. Interpretation. This contract shall be governed by and interpreted in accordance with the laws of the State of Oregon. 17. Anti -Lobbying. COUNTY certifies, to the best of its knowledge and belief, that: a. No Federal appropriated funds have been paid or will be paid, by or on behalf of the undersigned, to any person for influencing or attempting to influence an officer or employee of an agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with the awarding of any Federal contract, the making of any Federal grant, the making of any Federal loan, the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any Federal contract, grant, loan, or cooperative agreement. b. If any funds other than Federal appropriated funds have been paid or will be paid to any person for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with this Federal contract, grant, loan, or cooperative agreement, the undersigned shall complete and submit Standard Form - LLL, "Disclosure Form to Report Lobbying," in accordance with its instructions. Funds shall be used for personnel expense of employees working directly on the funded program identified and no indirect charges shall be allowed. Agency Description of Service Budget Catholic Community Community Service Center $42,303 Catholic Community Services, Springfield OASIS Homeless Family Access Center $16,199 FOOD for Lane County Hunger Relief — Food Distribution $19,770 Relief Nursey Child Abuse Prevention $14,247 Hope & Safety Alliance Access Center for Victims of Domestic $8,029 Total $100,548 Attachment 1, Page 5 of 13 EXHIBIT B PERFORMANCE OF MANAGEMENT ACTIVITIES The Human Services Commission provides coordination for the Eugene and Springfield City Councils and the Lane County Board of Commissioners on matters concerning human services policy, planning and funding, including: • Pursues regional cooperation in the planning, funding and delivery of human services • Engages in research and makes recommendations for regional partners' funding, planning, policy, programs and partnerships on emergent issues and concerns in the area of human services • Develops recommendations on priorities for the allocation of regional resources to meet identified human needs • Evaluates and makes recommendations on all submitted jurisdictional requests for funding of human services • Develops and manages a variety of community resources to maximize the benefit on human needs • Guides and optimizes the use of partners' resources in addressing major community issues and concerns • Evaluates and reviews the performance of individual human service agencies • Develops a regional plan for human service efforts supported by local government, ensuring community involvement • Coordinates with other groups and human service planning agencies and organizations • Reviews city and county actions which may affect the availability and quality of human service delivery in the county • Encourages collaboration in seeking regional solutions to human service needs • Encourages caring and action on human needs in the community by raising awareness Attachment 1, Page 6 of 13 COUNTY agrees to carry out the following activities in order to manage the Human Services Commission Program operations: I. Contract Monitoring A. Conduct quarterly monitoring of agency contracts compliance by reviewing minutes and financial statements. B. Conduct semiannual review of program progress reports. C. Review annual audits. D. Conduct biennial site visits to all subcontracted agencies. E. Provide technical assistance as needed to agencies in solving problems affecting their contract performance. II. Accounting A. Set-up payment schedule for subcontractors. B. Track receipt of revenues from Springfield and disbursements of the funds to subcontracted agencies. C. Bill city of Springfield. III. General Management A. Prepare annual budget, monitor and adjust as necessary. B. Prepare annual program and fiscal reports for the Human Services Commission and all reports required by other funding agencies. C. Make records available to city of Springfield as requested. D. Conduct human services and homeless assistance planning process E. Perform resource development activities. F. Staff the Human Services Commission, Poverty and Homelessness Board and related subcommittees. G. Coordinate program activities. H. Promote and maintain public relations with other community organizations and the general public. Attachment 1, Page 7 of 13 Exhibit C COMMUNITY DEVELOPMENT BLOCK GRANT AGREEMENT REGULATIONS AND REQUIREMENTS COUNTY shall provide a process for allocating federal Housing and Community Development Block Grant (CDBG) funds to operate social service agencies serving extremely low-income, very low-income and low-income persons in the city of Springfield. COUNTY shall, through their Human Services Commission (HSC) process, select agencies appropriate for funding. COUNTY Department of Health and Human Services (H&HS) shall provide ongoing administration and implementation of contracts with agencies for services at no charge to CDBG from July 1, 2021 through June 30, 2022. H&HS shall manage contracts, monitor, evaluate, and pay agencies directly for public services based on the terms and conditions set forth herein and in Exhibit D and Exhibit E. 2. COUNTY shall select agencies for funding with CDBG funds that either: 1) provide a new service; or 2) demonstrate a quantifiable increase in the service level provided in the prior twelve (12) months. This increase must be demonstrated using quantifiable "units of measure"; for example, "meals provided" or "nights of shelter". Once an agency has met one of these tests, the agency can continue to receive subsequent CDBG funding. 3. COUNTY shall review agency/county contracts, including but not limited to, agency Program Agreements (scope of work) and CDBG budgets, and shall verify CDBG eligibility of HSC selected agencies with SPRINGFIELD prior to COUNTY entering into contracts for CDBG funds. 4. COUNTY shall require that all contracts between COUNTY and CDBG funded agencies shall include a description/scope of work to be performed, a schedule for completing the work, and a budget. Contracts shall provide a separate description/scope (service indicators) and budget for services provided with CDBG funds. COUNTY shall require that items shall be in sufficient detail to provide a sound basis to effectively monitor performance under this contract. COUNTY shall require that all services provided by CDBG funds must either serve Springfield residents of extremely low, very low or low-income directly or serve a Springfield area where at least 51 % of the residents are extremely low, very low or low-income. COUNTY shall direct agencies providing direct services to determine eligibility of clients/households according to the most current HUD Family Income Guidelines for Springfield, Oregon. The Income Guidelines are updated annually by the U.S. Department of Housing and Urban Development at https://www.huduser.gov/portal/datasets/i1.htm1. 5. COUNTY shall perform ongoing monitoring and site visits. COUNTY shall maintain documentation of agency services provided and payments received. COUNTY shall require that agencies, which provide "direct" benefits, maintain documentation on unduplicated clients/households receiving services funded by CDBG. Documentation shall include information on residency, income, ethnic data, race, female head of household, and disability status. A sample client/household documentation collection sheet is attached as Exhibit D. Client/household information Attachment 1, Page 8 of 13 shall be compiled and submitted to SPRINGFIELD quarterly, no later than the last day of the month following the end of the quarter. 6. COUNTY shall require that any program income generated through COUNTY contracts using CDBG funds shall be reported to SPRINGFIELD, and upon approval, committed to the CDBG funded project to advance eligible objectives. 7. SPRINGFIELD reimbursement to COUNTY of CDBG funds shall not exceed $100,548 for services provided by eligible social service agencies as detailed in attached Exhibit - A. COUNTY shall forward to SPRINGFIELD monthly agency service performance reports in conjunction with payment reimbursement requests based on actual expenses incurred by agencies in the performance of those services. 8. SPRINGFIELD will review performance reports and reimbursement requests for cost eligibility and appropriateness, based on the approved CDBG detailed budget in County/agency contracts. Reimbursement payment items must be properly documented and available for review. Should SPRINGFIELD determine agency services or reimbursement requests to be unacceptable, SPRINGFIELD shall withhold outstanding reimbursement payments until corrective action is completed. Should SPRINGFIELD determine any cost to be ineligible and/or inappropriate for CDBG funds, said cost shall not be reimbursed to COUNTY. Should SPRINGFIELD determine COUNTY to have materially failed to comply with any term of contract, SPRINGFIELD may suspend or terminate social services contract management responsibility of CDBG funded agencies. 9. COUNTY shall maintain records of its charges to SPRINGFIELD under this contract for a period of not less than five full fiscal years following COUNTY'S completion of this contract. Upon reasonable advance notice, SPRINGFIELD or its authorized representatives may from time to time inspect, audit, and make copies of any of COUNTY'S records that relate to this contract. If any audit by SPRINGFIELD discloses that payments to COUNTY were in excess of the amount to which COUNTY is entitled under this contract, COUNTY shall promptly pay to SPRINGFIELD the amount of such excess. If the excess is greater than 1% of the contract amount, COUNTY shall also reimburse City its reasonable costs incurred in performing the audit. 10. COUNTY shall comply, and shall require compliance by agencies selected for CDBG funding, with all applicable federal, state, and local laws, rules, ordinances, and regulations at all times and in the performance of the work. COUNTY shall comply with the policies, guidelines, requirements, and standards of 2 CFR 200, Uniform Administrative Requirements, Cost Principles, and Audit Requirements of Federal Awards and 2 CFR 225 Cost Principles for State, Local, and Indian Tribal Governments. COUNTY shall require compliance by social service agencies with the requirements and standards of 2 CFR 200, Uniform Administrative Requirements, Cost Principles, and Audit Requirements of Federal Awards and 2 CFR 230, Cost Principles for Non -Profit Organizations. COUNTY shall comply, and shall require compliance by agencies selected for CDBG funding, with the requirements and standards of HUD Section 504 of the Rehabilitation Act of 1973 (as amended). As a subrecipient of SPRINGFIELD CDBG, COUNTY and CDBG funded agencies are designated as recipient organizations as it applies to Attachment 1, Page 9 of 13 Section 504 regulations. COUNTY shall require that no person be excluded from participation in or be denied benefits of or be subjected to discrimination in any programs, activities, facilities, housing, or employment opportunities based on race, color, national origin, religion, sex, age, familial status, or handicap in accordance with P.L. 88-352 (Title VI), P.L. 90- 284 (Title VIII), Executive Order (E.O.) 11063, as amended by E.O. 12259, Section 109 of the Act, E.O. 11246, as amended by E.O. 12086, and Section 3 of the Act. 11. COUNTY shall require access to COUNTY and contractor social service agency records and financial statements, as necessary, to provide effective monitoring and evaluation of program performance. Upon reasonable advance notice, SPRINGFIELD or its authorized representatives may from time to time inspect, audit, and make copies of any of COUNTY and/or CDBG funded social service agencies records that relate to this contract. 12. Should COUNTY select to fund public services provided by a religious organization, COUNTY shall require that the following conditions are met and terms incorporating these conditions are set out in an agreement between COUNTY and the providing agency. If an Agency represents that it is, or may be deemed to be, a religious or denominational institution or organization, or an organization operated for religious purposes, which is supervised or controlled by, or in connection with a religious or denominational institution or organization, then Agency certifies that: a. Agency agrees to provide public services in a manner free from religious influence; b. Agency will not discriminate in employment practices based on religion; c. Agency will not discriminate against program applicants based on religion; d. Agency will not give preference to certain religions in the provision of housing and services; e. Agency will provide no religious instructions while providing the public services; f. Agency will not provide religious services or other forms of proselytizing while providing the public services; and g. Agency will exert no other religious influence in providing housing or services. 13. COUNTY agrees to abide by, and shall agencies selected for CDBG funding to abide by, the provisions of 2 CFR 200, 225 and 24 CFR 570.611, which include (but are not limited to) the following: a. COUNTY shall maintain a written code or standards of conduct that shall govern the performance of its officers, employees or agents engaged in the award and administration of contracts supported by Federal funds. b. No employee, officer or agent of COUNTY shall participate in the selection, or in the award, or administration of, a contract supported by Federal funds if a Attachment 1, Page 10 of 13 conflict of interest, real or apparent, would be involved. c. No covered persons who exercise or have exercised any functions or responsibilities with respect to CDBG-assisted activities, or who are in a position to participate in a decision-making process or gain inside information with regard to such activities, may obtain a financial interest in any contract, or have a financial interest in any contract, subcontract, or agreement with respect to the CDBG- assisted activity, or with respect to the proceeds from the CDBG-assisted activity, either for themselves or those with whom they have business or immediate family ties, during their tenure or for a period of one (1) year thereafter. For purposes of this paragraph, a "covered person" includes any person who is an employee, agent, consultant, officer, or elected or appointed official of the COUNTY and subrecipient agencies. 14. COUNTY shall complete and submit to SPRINGFIELD, Exhibit "E" attached hereto "Federal Funding Accountability and Transparency Act (FFATA) Data Collection Form," and COUNTY shall require all subrecipients to complete a like form and submit to COUNTY prior to disbursement of any funds. COUNTY will report to FSRS — Federal Funding Accountability and Transparency Act Subaward Reporting System — any subreciepient receiving equal to or great than $30,000 in federal funding during the contract year.
