Lewis Staff Phone No: 541-726-3721 Estimated Time: Consent Calendar S P R I N G F I E L D C I T Y C O U N C I L Council Goals: Strengthen Public Safety by Leveraging Partnerships and Resources ITEM TITLE: BODY-WORN CAMERA AND IN CAR VIDEO PROCUREMENT CONTRACT ACTION REQUESTED: Authorize the City Manager to negotiate and sign a contract with Upstate Wholesale Supply Company, dba Brite Computer for the procurement of Getac body-worn camera and in-car video systems. ISSUE STATEMENT: The Springfield Police Department received City Council approval and support to implement body-worn camera and in-car video systems. Getac was selected as the preferred vendor after body-worn camera system testing and system evaluation. Getac communicated a purchase order must be submitted by November 15, 2020 to meet the February 2021 implementation timeline. Upstate Wholesale Supply Company submitted the most favorable cost and implementation proposal that adheres to project timeline requirements. ATTACHMENTS: Attachment 1: Draft C2713 Upstate Wholesale Supply Company DISCUSSION/ FINANCIAL IMPACT: The Springfield Police Department selected Upstate Wholesale Supply Company, dba Brite Computers for the procurement of Getac body-worn camera (BWC) and in-car video (ICV) system implementations. Upstate Wholesale Supply Company, dba Brite Computers contract sourcing is through an interstate cooperative procurement in adherence to State and City requirements. Getac was selected as the preferred solution for the BWC system implementation after system testing determined their system excelled in evaluation topics such as ease of use, supportability, and overall cost. Implementation of integrated ICV systems received City Council support at the October 5, 2020 Work Session. Quotes for BWC and ICV systems from two qualifying Getac resellers were reviewed. The quote from Upstate Wholesale Supply Company, dba Brite Computers (Brite) was selected due to cost considerations, as well as the inclusion of a Statement of Work and offer of supplementary implementation support by Brite personnel. Year one costs for both BWC and ICV systems are higher than previously communicated due to vendor clarification that planned five-year equipment replacement and warranty costs must be included in year one to realize quoted preferential pricing. Five year total project costs are as anticipated and previously communicated to City Council. BWC project costs will be supported by the general fund, as well as qualifying grant funding. ICV project costs will be supported by federal forfeiture funds. Staff recommends Council give the City Manager approval to negotiate and sign a final contract. The invoice must reference this contract #XXXX and approval code #360. 4. Warranty. Seller shall warrant body-worn camera and in-car video systems as described in Attachment 1. 5. Sourcing. The source for this procurement is NCPA 01-97, which is an interstate cooperative procurement that complies with the requirements of ORS 279A.220(1) and (2)(a). The general terms and conditions and special contract terms and conditions (T’s & C’s) contained in NCPA 01-97 are hereby incorporated by reference and shall apply to this purchase and shall take precedence over all other conflicting T’s & C’s express or implied. 6. The work to be performed by Seller includes services generally performed by Seller in his/her/its usual line of business. 8. Tax duties and Liabilities. Seller shall be responsible for all federal, state and local taxes, if any, applicable to any payments received pursuant to this Agreement, including but not limited to income tax, payroll tax, social security and self-employment tax. CITY shall not withhold, pay, or in any other manner be responsible for payment of any taxes on behalf of Seller. 9. Indemnification and Hold Harmless. Seller shall defend, indemnify and hold harmless City from and against all liability or loss and against all claims or actions based upon or arising out of damage or injury to persons or property caused by or sustained in connection with the performance of this Contract by Seller except, pursuant to ORS 30.140, for losses, claims, or actions resulting from the sole negligence of City. Except as explicitly provided otherwise in Attachment 1, the Seller shall assume all responsibilities for the work, and bear all losses and damages directly or indirectly resulting to the Seller, the City, or to others on account of the character or performance of the work, unforeseen difficulties, accidents, or any other cause whatsoever. The Seller shall assume defense of, indemnify and save harmless the City, its officials, agents, and employees from all claims, liability, loss, damage and injury of every kind, nature and description, directly or indirectly resulting from activities in the performance of the Contract, the ownership, maintenance or use of motor vehicles in connection therewith, or the acts, omissions, operations, or conduct of the Seller or any Subcontractor under the Contract or any way arising out of the Contract, irrespective of whether any act, omission or conduct of the City connected with the Contract is a condition or contributory cause of the claim, liability loss, damage or injury and irrespective of whether act, omission, or conduct of the Seller or Subcontractor is merely a condition rather than a cause of a claim, liability, loss damage or injury. The Seller shall not be liable for nor be required to defend or indemnify, the City relative to claims for damage or damages resulting solely from acts or omissions of the City, its officials, agents or employees. The absence of or inadequacy of the liability insurance required in section 10 shall not negate Seller’s obligations in this paragraph. 10. Insurance. Page 2 of 29 C2713DRAFTAttachment 1, Page 2 of 29 REV JAN 2019 a. General Insurance. The Seller shall maintain in force for the duration of this agreement a Commercial General Liability insurance policy written on an occurrence basis with limits not less than $2,000,000 per occurrence and $3,000,000 in the aggregate for bodily injury or property damage. Automobile Liability (owned, non-owned and hired) insurance with limits not less than $1,000,000 per occurrence shall be maintained. The City, its employees, officials and agents will be named as an Additional Insured where operations are being conducted related to this contract, on the General Liability policy as respects to work or services performed under this agreement to the extent that the death or bodily injury to persons or damage to property arises out of the fault of the Seller or the fault of the Seller’s agents, representatives or subcontractors. This insurance will be primary over any insurance the City may carry on its own. If the City requires Professional Liability coverage, the City’s Risk Manager must approve the terms, conditions and limits. Seller understands that CITY is a public entity subject to the requirements of the Oregon Governmental Tort Claims Act, ORS 30.260 et seq. In the event that CITY’S financial obligations or liabilities are modified by any amendment to the liability limits imposed by the Oregon Governmental Tort Claims Act, Seller agrees that the limits regarding liability insurance set forth in this Section 10 will be modified to conform to such limits. Independent contractor and CITY shall sign an amendment to this Agreement incorporating such modification. b. Workers’ Compensation. Independent Contractor shall provide and maintain workers’ compensation coverage with limits not less than $500,000 for its employees, officers, agents, or partners, as required by applicable workers’ compensation laws as defined in ORS 656.027 and ORS 701.035(5). If Independent Contractor is exempt from coverage, a written statement signed by Independent Contractor so stating the reason for exemption shall be provided to the City. c. Evidence of Insurance Coverage. Evidence of the required insurance coverages issued by an insurance company satisfactory to the City shall be provided to the City by way of a City approved certificate of insurance before any work or services commence. d. Notice of Cancellation or Material Change in Coverage. The certificate of insurance shall contain a requirement that the Insurance company notify the City 30 days prior to any cancellation or material change in coverage. If the approved insurance company will not provide this 30 day notice, the Seller shall provide written notice to the City contract manager within two days after the Seller becomes aware that their coverage has been canceled or has been materially changed. The Seller shall either fax 541-726-3782 said notice or email it directly to Jayne McMahan (jmcmahan@springfield-or.gov), Procurement and Contracts Manager. Regardless of what circumstances caused Sellers insurance coverage to cease or be modified, it is the Seller’s responsibility to notify the City. Failure to maintain proper insurance or provide notice of cancellation or modification shall be grounds for immediate termination of this contract.________(Contractor initials) e. Equipment and Material. The Seller shall be responsible for any loss, damage, or destruction of its own property, equipment, and materials used in conjunction with the work. f. Exception or Waivers. Any exception or waiver of these requirements shall be subject to review and approval from the City’s Risk Manager. 11. Access to Records. CITY and its duly authorized representatives shall have access to books, documents, papers and records of Seller which are directly pertinent to this Agreement for the purpose of making audit, examination, excerpts and transcripts. 12. Waiver. Failure of CITY to enforce any provision of this Agreement shall not constitute a waiver or relinquishment by CITY of the right to such performance in the future nor of the right to enforce any other provision of this Agreement. 13. Amendments. The terms of this Agreement shall not be waived, altered, modified, supplemented or amended in any manner whatsoever, without prior written approval of CITY. No modification of this Page 3 of 29 C2713DRAFTAttachment 1, Page 3 of 29 REV JAN 2019 Agreement shall bind either party unless reduced to writing and subscribed by both parties, or ordered by a Court. 14. Nondiscrimination. Seller shall comply with all applicable requirements of Federal and State civil rights and rehabilitation statutes, rules and regulations. 15. Americans with Disabilities Act Compliance. Seller will comply with all applicable provisions of the Americans with Disabilities Act of 1990, 42 USC Section 12101 et seq. and Section 504 of the Rehabilitation Act of 1973. 16. Termination. The performance of work under this Agreement may be terminated by CITY, in whole or in part, whenever for any reason CITY shall determine that such termination is in the best interest of CITY. Any such termination shall be effected by delivery to the Seller of a Notice of Termination specifying the extent to which performance of the work under the Agreement is terminated and the date on which such termination is effective. Upon delivery to the Seller of a Notice of Termination under this paragraph, the Seller and CITY shall, by agreement, make an appropriate written modification to this Agreement governing completion of portions of the Seller’s work and payment therefore by CITY. 17. Non-Appropriation. The obligation of the City to make payments beyond June 30, 2021 is subject to annual appropriation. To the extent that funds are appropriated to make those payments for a given fiscal year, the full faith and credit of the City is pledged to the payments for such fiscal year. The obligation of the City to make those payments is not secured by the unlimited taxing power of the City and is not a general obligation of the City. The City's obligation to make those payments in any year is subject to future appropriation of funds by the City Council for the fiscal year in which the payment is due. In the event that funds are not so appropriated, payments will not be made. The failure to make a payment due to non-appropriation shall not constitute a default under this Agreement. 18. Assignment/Subcontract. Seller shall not assign, sell, transfer, subcontract or sublet rights, or delegate responsibilities under this Agreement, in whole or in part, without the prior written approval of CITY. No such written approval shall relieve Seller of any obligations of this Agreement, and any transferee or subcontractor shall be considered the agent of Seller. Seller shall remain liable as between the original parties to this Agreement as if no such assignment had occurred. 19. Successors in Interest. The provisions of this Agreement shall be binding upon and shall inure to the benefit of the parties to this Agreement and their respective successors and assigns. 20. Compliance with All Government Regulations. Seller shall comply with all Federal, State and local laws, codes, regulations and ordinances applicable to the work performed under this Agreement. Failure to comply with such requirements shall constitute a breach of contract and shall be grounds for termination of this Agreement. Damages or costs resulting from noncompliance shall be the sole responsibility of Seller. 21. Attorney Fees. In the event a lawsuit of any kind is instituted on behalf of CITY to enforce any provision of this Agreement, Seller shall pay such additional sums as the Court may adjudge reasonable for attorney fees plus all costs and disbursements at trial and on any appeal. 22. Force Majeure. Neither party to this Agreement shall be held responsible for delay or default caused by fire, riot, acts of God and/or war which is beyond that party’s reasonable control. CITY may terminate this Agreement upon written notice after determining such delay or default will unreasonably prevent successful performance of the Agreement. 23. Choice of Law, Forum, Construction of Agreement. This Agreement shall be governed and construed in accordance with the laws of the State of Oregon, apart from choice of law provisions. The parties agree that the Circuit Court for the County of Lane, State of Oregon, or the Federal District Court of the State of Oregon (Eugene) is the sole and proper forum for resolving any disputes involving this Agreement, any breach of this Agreement, or relating to its subject matter. The Parties agree to submit themselves to the jurisdiction of such courts without challenge Page 4 of 29 C2713DRAFTAttachment 1, Page 4 of 29 REV JAN 2019 to the jurisdiction of these courts. This Agreement shall not be construed more favorably to CITY due to the preparation of this Agreement by CITY. The headings and subheadings in this Agreement are for convenience, do not form a part of this Agreement, and shall not be used in construing this Agreement. 24. Entire Agreement. This Agreement signed by both parties is the parties’ final and entire Agreement and supersedes all prior and contemporaneous oral or written communications between the parties, their agents and representatives. There are no representations, promises, terms, conditions or obligations other than those contained herein. Locations Equipment will be shipped to: 230 4th St, Springfield OR, 97477 5. Project plan This section outlines the project tasks and milestones in the order it is anticipated they will be completed. The dates listed below represent tentative but realistic dates to ensure the success of Springfield’s deployment of Getac’s video solution. All dates are subject to change and do not represent a contractual obligation as many factors influence the deployment timeline. Per the SOW, many of the below milestones will require the client, reseller, Getac, 3rd party installation company, and CAD provider to fulfill requirements set forth in technical documents and the statement-of-work. It is Getac’s objective to support Springfield Police department’s promise to their community to have their video solution in place no later than EOM February 2020. This includes coordination of training resources, project plan creation and monitoring, management of hardware allocation, coordination of hardware installation, and customer engagement on workflow policy. Getac Video will configure the cameras per Department requirements. This includes configuration of Wi-Fi, GPS, recording triggers, and image/recording settings as needed. Vehicle Installation Vehicle installation will be performed by Getac Video certified installation company outside of this contract with the support of Brite and Getac. All installation details, scheduling and logistics will be coordinated by SPD. 7. Body Camera Configuration Getac will configure and assist SPD with deploying the body cameras and the camera multi-docks.  Configure and install the Getac 8-port multi-dock in SPD Briefing Room  Apply configuration to and test the Getac body cameras SPD will be responsible for:  Providing a network drop with patch cables and available power outlet for each Getac Camera multi-dock at each of the installation locations.  Routing on the network to the Internet for upload and access to the Getac Cloud (SPD Specific URL (TBD)) Page 10 of 29 C2713DRAFTAttachment 1 Attachment 1, 5 of 24Attachment 1, Page 10 of 29 6 www.BriteComputers.com | 1.800.333.0498 | 7647 Main Street Fishers | Victor, NY 14564  The Client will identify and make available, IT Staff personnel, with sufficient knowledge of the network architecture, who will be readily able to assist the Brite Computers engineer with hands on assistance when required. SPD will be responsible for:  Providing a well-lit secure area for the Getac engineers to work  Obtaining SIM cards prior to start of deployment and delivering them to the Getac engineers at start of deployment. o Getac will provide SPD a list of DVR’s with the associated IMEIs upon shipment 9. Training Services Getac will provide Training Services to train both the end users and the administrators on the operation of the Getac Video System.  One Systems Administration Training: Getac Video trains relevant Department personnel on the administration and operation of the Unified Evidence Management System. This includes a complete architecture overview, Enterprise Administrator training, Enterprise training, and break/fix training. During the Enterprise Administrator training Getac will cover how to setup and manage rules for video retention, manage active directory sync for users and groups, classification management, and remote device management. System Administrator Training is a comprehensive, in-depth session covering all hardware and backend features, use, maintenance, diagnostics, and security. This training session will consist of two primary parts: A) a high-level conversational lecture and demonstration of the Getac Video Solution aimed at the power user (i.e. system administrators). Part of this section will instruct on how to tailor the Getac Video Solution to meet department goals. B) An in depth, hands-on learning session focusing on practical use of the hardware and backend. Product training is designed to not only give the officer an in-depth knowledge of how the product operates, but also how the system is designed to integrate and work within the city policy to ensure that not only the proper events are being captured; but that the users are also working within the framework established by policy. This class also includes in-depth training on the Enterprise software. Training covers how searching works, advanced searching criteria, file importing (including manual offloads), as well as running system reports. This is typically done in a classroom setting with connections established to a server for live training in a server client environment. Officer Training focuses on the practical usage of Getac Video body worn cameras and software. This training will take a pragmatic approach to the following: · Overview of hardware and features - BWC, triggers, mounts, docks · Logging into the Getac Video client and Enterprise · Features and functions of interface · Metadata - what is it and how is it useful? · Viewing video on local machine · How to offload video · How to view uploaded video · Best practices / Tips and tricks  One Supervisor training: Command Staff Training will include both lecture, hands-on device, and backend training from a practical and policy perspective. Unlike the Officer Training session, this class will delve into department policy objectives and goals, and how the Getac Video Solution can be tailored to those goals. System Configuration Services Getac will provide Cloud Configuration Services including:  Provision and configure SPD’s Getac Video Management Cloud Server  Create and configure Evidence Categories and Retention periods as provided by SPD.  Create and deploy device configuration templates for each of the device types: o Vehicles o Body Cameras o Camera Multi Docks  Create Roles and Groups per SPD’s requirements  Configure User Security Profiles.  Assist the Client in User Profile Creation  Configure system permissions for each of the Roles per SPD’s requirements  Work with SPD’s identified technical resource to configure integration with SPD’s Active Directory (AD) system in order to provide user accounts. AD Integration features include: o Seamless integration with Microsoft AD using Secure LDAP o Supports integration with Azure AD Domain Service o Bulk import of Users and Groups o Single Sign-on – using same username and password to authentication on Getac application. o AD Group mapping with Getac Users Group o Automatic Role & Permission Profile assignment based on AD group Mapping o Automatic data Synchronization to keep user accounts updated o Centralized portal for settings and configuration using Getac Enterprise application  Work with SPD’s identified technical resource for integration with the City’s CAD system. Project Assumptions Based on communication with SPD, Brite is making the following assumptions regarding this project. These assumptions are the basis upon which Brite has prepared this Statement of Work. If any of these assumptions are inaccurate, or if important assumptions are missing, Brite requests SPD bring this to our attention so we may modify the Statement of Work accordingly.  Getac will meet with the identified project personnel to discuss and determine the Implementation plan.  It is the customer’s responsibility to back up the data on the affected systems. Brite is not responsible for loss of data, for loss or use of any of the customer’s computer or network systems resulting in the performance of its services.  All work will be completed during normal business hours (8am – 6pm EST), unless agreed upon by both parties in writing.  If required information proves difficult to obtain or is unavailable, SPD and Brite will work together to arrive mutually at pertinent and appropriate project assumptions or Brite has additional fee-based services that may be utilized to gather required information. Either of these options may impact the time required to complete the engagement.  The In Car Video installation services will be contracted separately from this agreement.  SIM cards will be activated at the time of installation.  SPD’s AD server is an on premise VM with windows OS server with 1GB of free space on OS drive to install Getac AD integration software. o Server should be accessible over public IP and a configured port. This would allow Getac cloud to connect the Getac AD integration service for data synchronization and authentication. This change would require the agency’s IT personnel to configure the public firewall to allow traffic from the Getac cloud. o Administrator access is required to connect and install the Getac AD software on to the on-prem server. Any additional costs for use of the API by the CAD provider are the responsibility of SPD.  Trigger boxes will be configured as one to all default triggering with a default radius of 3 meters.  Cable drops for Multi-docks will be completed prior to installation and setup. 12. Documentation Documentation is provided in a number of ways for users to access. Getac will provide user manuals, which provide in-depth instructions; in addition, Getac will provide Quick Start Guides which are useful reference tools for end users. User guides are also provided in the form of laminated hard copies for access at stations and electronic format for access on PCs. Project Management and architectural diagrams and documentation are made available to designated personnel upon completion. The deployment timeframe for the Getac Video systems is project specific and can have many outside determining factors such as storage type, total number of installations, triggers requested, vehicle types, and even what vendor is completing the installations for a given agency. Each project will have a specific plan for completion of all project milestones which will be identified on the initial project kickoff meeting between the customer, installers, reseller and Getac. 13. Modification Control Procedure Unless SPD and BRITE otherwise mutually agree in writing, the deliverable will be per the specifications contained in the Statement of Work. If either Party should desire a modification after acceptance of the applicable product specifications contained in the Statement of Work, the following procedure shall apply: A. The Party desiring the change shall deliver to the other Party a written request for change. Each change request will include, at a minimum, (i) a description of the change desired, (ii) an explanation of the reasons for the desired change, (iii) any known constraints on schedule, development cost, or end product cost for the desired change, and (iv) an explanation of any expected impact on the hardware and software components of the applicable product specifications contained in the Statement of Work. B. If the Party receiving the change request reasonably believes that an assessment of the change request will require an increase in the cost of the hardware, software or services charged to the Party requesting the change, that Party will respond to the Party requesting the change within 10 working days with a written price and a schedule for assessing the change request. Upon written acceptance by the requesting Party of such price and schedule, the other Party will provide a change assessment for such price and in accordance with such schedule. C. Each change assessment will state whether the requested change is feasible. If the change is feasible, the change assessment will also contain, at a minimum, the following information: a. A description of the method or methods by which the change can be provided b. A description of any expected effect of the change on the performance, operation, and support of the Project Deployment and/or Services. c. An explanation of the impact, if any, on the hardware and software components of the applicable Project Deployment and/or Services. A recommendation as to whether the change should be done. The Party receiving the change assessment shall respond in writing to the change assessment within five (5) working days with either an authorization to proceed with the change at a specified future commencement date, or a decision not to proceed. 14. Getac provides advance exchange on hardware utilizing state of the art process. A simple form is filled in online and product is expedited to the client. Once the unit is replaced, the defective unit is packaged and sent back using a pre-printed shipping label. See below for additional Getac warranty information. Getac’s warranty obligations for this hardware product are limited to the terms set forth below: Getac warrants this Getac-branded office dock, vehicle dock, video and camera product, recording devices, accessory, and hardware parts against defects in materials and workmanship under normal use for a period of One (1) YEAR from the date of purchase by the original end-user purchaser (“Warranty Period”). This warranty only applies to products sold by Getac or its Authorized Distributors or Dealers and only where the products are used and serviced within North America or its Authorized Service Providers territories. Warranty coverage only applies to service carried out by a Getac Authorized Service Provider. If a hardware defect arises and a valid claim is received within the Warranty Period, at its option and to the extent permitted by law, Getac will either repair the defect at no charge, using new or refurbished replacement parts, or exchange the product with a product that is new or which has been manufactured from new or serviceable used parts and is at least functionally equivalent to the original product. A replacement product or part, including a user installable part that has been installed in accordance with instructions provided by Getac, assumes the remaining warranty of the original product or ninety (90) days from the date of replacement or repair, whichever provides longer coverage for you. When a product or part is exchanged, any replacement product becomes your property and the replaced item becomes Getac’s property. Parts provided by Getac in fulfillment of its warranty obligati on must be used in products for which warranty service is claimed. Exclusions and Limitations This Limited Warranty applies only to Getac-branded hardware products manufactured by or for Getac that can be identified by the “Getac” trademark, trade name, or logo affixed to them. The Limited Warranty does not apply to any non-Getac hardware products, co-branded hardware products (whether or not displaying a “powered by Getac” trademark, trade name, or logo affixed to them) or any software, even if packaged o r sold with Getac hardware. Manufacturers, suppliers, or publishers, other than Getac, may provide their own warranties to the end user purchaser, but Getac, in so far as permitted by law, provides their products “as is”. (m) cosmetic damage that does not affect the functionality of the office dock, vehicle dock, video and camera product, recording devices, accessory or hardware part, including but not limited to scratches, dents and numerals, letters, icons and symbols silkscreened onto unit keycaps and numerals, letters, icons and symbols silkscreened onto unit cabinet; or (n) damage which occurs in shipment. (o) negligence (p) damage from accidents (q) operation of product outside the published environmental or electrical parameters (r) use of supplies or parts not meeting Getac’s specifications THIS PRODUCT IS NOT INTENDED FOR USE AS OR PART OF NUCLEAR EQUIPMENT/SYSTEMS, AIR TRAFFIC CONTROL EQUIPMENT/SYSTEMS, OR AIRCRAFT COCKPIT EQUIPMENT/SYSTEMS, OR ANY OTHER SYSTEMS THAT REQUIRE FAIL-SAFE PERFORMANCE. GETAC WILL NOT BE RESPONSIBLE FOR ANY LIABILITY RESULTING FROM THE USE OF THIS PRODUCT ARISING OUT OF THE FOREGOING USES. AIRCRAFT COCKPIT EQUIPMENT/SYSTEMS include class 2 Electronic Flight Bag (EFB) Systems and Class 1 EFB Systems when used during critical phases of flight (e.g., during take-off and landing) and/or mounted onto the aircraft. Class 1 EFB Systems and 2 EFB Systems are defined by FAA:AC (Advisory Circular) 120-76A or JAA: JAA TGL (Temporary Guidance Leaflets) No. 36. THE FOREGOING LIMITATION SHALL NOT APPLY TO DEATH OR PERSONAL INJURY CLAIMS, OR ANY STATUTORY LIABILITY FOR INTENTIONAL AND GROSS NEGLIGENT ACTS AND/OR OMISSIONS. Obtaining Warranty Service Please access and review the online help resources at www.getac.com before requesting warranty service. If the product is still not functioning properly after making use of these resources, please contact a Getac representative at (949) 681-2950. A Getac representative will help determine whether your product requires service and, if it does, will inform you how Getac will provide it. Getac will provide warranty service on products that are tendered or presented for service during the warranty period, as permitted by law. In accordance with applicable law, Getac may require that you furnish proof of purchase and/or comply with registration requirements before receiving warranty service. You may be responsible for shipping and handling charges to obtain service under this warranty. In any instance in which Getac issues a Return Material Authorization Number (RMA #), Getac must receive the product(s) for repair prior to the expiration of the warranty period in order for the repair(s) to be covered by the limited warranty service. If your product is capable of storing data or software programs, you should make periodic backup copies of the data and programs contained on the product’s hard drive or other storage media to protect your data and as a precaution against possible operational failures. Before you deliver your product for warranty service, it is your responsibility to keep a separate backup copy of the system software, application software and data, and disable any security passwords. You will be responsible for reinstalling all such software, data and passwords. Getac and its authorized service providers are not liable for any damage to or loss of any programs, data or other information stored on any media, or other non-Getac product or part not covered by this warranty. Recovery and reinstallation of system and application software and user data are not covered under this limited warranty.
