HomeMy WebLinkAboutResolution SEDA 2007-01 01/22/2007 SPRINGFIELD ECONOMIC DEVELOPMENT AGENCY RESOLUTION NO. 2007-01 WHEREAS, the Public Contracting Code requires Springfield Economic Development SEDA (SEDA) to designate a Local Contract Review Board and to adopt contracting rules in areas not covered by the Public Contracting Code or "Model Rules" adopted by the Attorney General of the State of Oregon as set forth in applicable Oregon Administrative Rules Division 46, General Provisions Related to Public Contracting OAR 137-046-0100 et seq., and specifically OAR 137-046-0000(1), Division 47, Public Procurements for Goods or Services, OAR 137-047-0100 et seq., Division 48, Consultant Selection: Architectural, Engineering, Land Surveying and Related Services Contracts, OAR 137-048-0100 et seq., and Division 49, General Provisions Related to Public Contracts for Construction Services, OAR 137-049-0100 et seq.; and, WHEREAS, SEDA finds it necessary to designate a Local Contract Review Board and to adopt rules as specified above; and WHEREAS, with the exception that SEDA shall serve as the Contract Review Board/Contracting SEDA, SEDA wishes to adopt Springfield Municipal Code Sections 2.700 through Section 2.722 to govern all public contracting of the SEDA; and, WHEREAS, SEDA wishes to provide that the City of Springfield staff is empowered to and shall provide service to implement Sections 2.700 through Section 2.722 of the Springfield Municipal Code as the public contracting code for the SEDA; and, WHEREAS, SEDA wishes to provide for the use of auditors, financial advisors, bond counsel, and financial institutions in cooperation with the City of Springfield; and, WHEREAS, SEDA wishes to provide for and utilize the financial institution utilized by the City of Springfield and the cash accounting procedures in conjunction with the City of Springfield, including revenues deposited in any of the City-State pool account or the City of Springfield bank account and checks written off of the City's check register and various other general financial administration by the City of Springfield; PROVIDED HOWEVER, a separate accounting record shall be provided for SEDA financial records; and, WHEREAS, SEDA wishes to provide for services in accordance with the "Cooperation Agreement" by and between the City of Springfield and SEDA dated October 10, 2005; and, RESOLUTION Page 1 NOW THEREFORE BASED UPON THE FOREGOING RECITALS WHICH ARE EXPRESSLY MADE A PART OF THIS RESOLUTION, THE SPRINGFIELD ECONOMIC DEVELOPMENT AGENCY (SEDA) HEREBY RESOLVES as follows: 1. Springfield Municipal Code Sections 2.700 through Section 2.722 shall govern all public contracting of the SEDA, PROVIDED HOWEVER, SEDA shall retain designation and continue as the local Contract Review Board. 2. The City of Springfield is responsible for implementing, carrying out and administering the Public Contracting Code for SEDA. 3. The City of Springfield staff is empowered to and shall provide service to implement Section 2.700 through Section 2.722 of the Springfield Municipal Code for the SEDA. 4. The City of Springfield is empowered to utilize auditors, financial advisors, bond counsel, and financial institutions in cooperation with SEDA in order to provide administrative support for SEDA. Specifically: The City of Springfield staff is empowered to continue to utilize the same auditor firm for SEDA as utilized by the City of Springfield; The City of Springfield is authorized to use Western Financial Management as financial advisor to SEDA; and, The City of Springfield is authorized to utilize Harvey Rogers of the Preston, Gates & Ellis law firm as bond counsel for SEDA. 5. The City of Springfield is also authorized to utilize the financial institutions utilized by the City of Springfield and cash accounting procedures in conjunction with the City of Springfield, including SEDA revenues shall be deposited in any of the City-State pool account or the City of Springfield bank account and checks written off of the City's check register; PROVIDED HOWEVER, a separate accounting record shall be provided for SEDA financial records. 6. The Chair of SEDA is hereby authorized to enter into an Intergovernmental Agreement with the City of Springfield for the purposes set forth in Sections 1, 2, 3, 4, and 5 above. 7. Services shall be provided in accordance with the "Cooperation Agreement" by and between the City of Springfield and SEDA dated October 10, 2005. 8.
