' Lease Agreement PARTIE~ : VIII World Veterans' Championships DATE . . Letha Jaennette Julv 13 , 1989 (Lessor) (Lessee) RECITAL : Lessor is the sponsor of the VIII World Veterans · Championships. Lessor wishes to lease space to Lessee for the event, and Lessee wishes to acquire such space, all on the terms and ~onditions recited in this agreement. AGREEMENT: 1. RENTAL AMOUNT. 1.1 The rent to be paid from Lessee to Lessor is the amount equal to ten percent of the gross revenues. The amount shall be paid according to the terms of paragraph 6. 1.2 A $ 50.00 non-refundable deposit will be required at the approval of this contract. The $ 50.00 deposit will be credited towards the liabilities of the lessee. The lessee forfeits the $ 50.00 deposit on cancellation of space rental. 2. Term of Lease. Subject to further provisions of this agreement, the space rented herein is being rented for a minimum period of three days, commencing no earlier than 9:00 a.m. and terminating no later than 9:00 p.m. each day. 3. Use of Soace. Lessee is authorized to use the space rented herein for the purpose of the sale of shaved ice food products and for no other purpose. 4. Descriotion of Soace Rented. The exhibit will not exceed the area of a 10' X 10' square. A minimum of a four (4) foot wide strip of free space must separate each exhibit. Exact location of space will be assigned at a later date. 5. Limitations on Use of Soace. 5.1 Lessee agrees to no subleasing of assigned space. 5.2 The design and decorations must be approved by the lessor in order to conform with the World Veterans' Championships guidelines. <. 5.3 If Lessee does not occupy the space contracted for, or fails to comply in any respect with the terms of this agreement, Lessor shall have the right, without advance notice to Lessee, to eject Lessee from the space and to re-sell such space, or any part thereof, at the highest price obtainable, and credit the amount received toward loss or damage suffered by Lessor. If Lessee's failure to occupy the space or to comply with any of the provisions of this agreement results in loss or damage to Lessor, the Lessee shall be liable to Lessor for such loss or damage. . 6. Payment of Rental Amount. Lessee agrees to pay the full ~ amount owed to lessor net fifteen (15) days after the event. 7. Nature of Vendinq. Lessor shall have the right to approve all items to be sold by Lessee. The approved list of items which may be sold is as follows: Shaved ice food oroducts.aatorade. ierkv. and brownies. Care and Rules of Exhibi~. 9.1 Lessee must comply with all health, fire and safety requirements that have been imposed by any bona fide authority. Failure to comply will result in immediate termination of this lease, at Lessor's option. 9.2 Lessee must have at least one adult, eighteen (18) years or older, in attendance within the assigned vending area at all times. 9.3 No music will be allowed in the vending area. 9.4 Products competing with Lessor or its sponsors shall be prohibited. 10. Liabilitv and Securitv of Exhibit. .. 10.1 Lessee agrees to indemnify and hold the Lessor and its sponsors harmless from any and all claims for damages or expenses arising out of any occurrence at the space occupied by Lessee, except for Lessor's negligence. 10.2 Lessee shall be responsible for the safeguard of its exhibit, employees, volunteers and goods, before, during, and after the VIII World Veterans' Championships. Lessor shall have no duty to Lessee, or any business guests or invitees, to protect them against any risk whatsoever. 11. Insurance. 11.1 Lessee is required to have liability insurance. 11.2 Lessor will not be responsible for the safety of exhibits or property of Lessee, or its employees as a result of fire, theft, accident or any other destructive cause or for any injury that might occur to the public, to Lessee or its employees arising out of or in connection with the use of Lessee's space. 12. Amendments. Except for rental amount, this agreement may be changed by Lessor's written notice to Lessee. Lessee also has the option to change this agreement by giving Lessor wri tten notice. The acceptance of amendments must follow paragraph 13. 13. Entire Aareement. This is the entire agreement between the parties. None of the terms or conditions of this agreement can be modified or changed by representations of agents or otherwise, unless such changes are signed by both parties. 14. Cancellation. 14.1 If Lessor, in its sole discretion, for any reason whatsoever deems it to be impractical, impossible or inadvisable to provide a vending area, then this agreement will be deemed cancelled and all deposits made upon rental shall be forfeited by Lessee. Lessee shall be obliged to pay for space only for the period the space was or could have been occupied by Lessee, and Lessee releases Lessor from any and all claims for damages wh~ch may arise in consequence thereof. 14.2 Cancellations on the part of the Lessee after July 15, 1989 will result in the loss of payment made. In consideration of my contract, application and participation in the vending area of the VIII World veterans' Championships I, the undersigned, intending to be legally bound hereby for myself, heirs and personal representatives, waive, discharge and release any and all rights and claims for injuries, losses and damages I may have against the VIII World Veterans' Championships and the sponsors, their officers, employees, agents and volunteers from any and all injuries, losses or damages to my personal property including theft thereof which may be suffered by me as a result of my participation in the VIII World Veterans' Championships.
