ACTION REQUESTED: Approve or reject the following motion: AUTHORIZE AND DIRECT THE CITY MANAGER TO EXECUTE THE INTERGOVERNMENTAL AGREEMENT (IGA) WITH WILLAMALANE PARK AND RECREATION DISTRICT (WPRD) FOR CONSTRUCTION AND MAINTENANCE OF THE MILL RACE PATH. ISSUE STATEMENT: Willamalane Park and Recreation Department (WPRD) plans to construct a multi-use path that crosses several City-owned parcels, requiring easements. ATTACHMENTS: 1. Intergovernmental Agreement #1697 Exhibit A: Map showing all affected properties DISCUSSION/ FINANCIAL IMPACT: Willamalane Park and Recreation District (WPRD) plans to construct a multi-use path from downtown Springfield to Clearwater Park during the summer of 2016. The path is identified in the 2012 WPRD Comprehensive Plan. The path corridor parallels the Springfield Mill Race and crosses several city owned parcels. This IGA allows for construction and maintenance of the path and will be followed by a formal easement agreement once the final alignment of the path is complete. Staff recommends that Council authorize the City Manager to enter into the IGA with Willamalane allowing the construction and maintenance of the Mill Race Path. INTERGOVERNMENTAL AGREEMENT (MILL RACE PATH) – PAGE 1 OF 4 (422464) INTERGOVERNMENTAL AGREEMENT FOR CONSTRUCTION AND MAINTENANCE OF THE MILL RACE PATH BETWEEN: CITY OF SPRINGFIELD, (“City”) AND: WILLAMALANE PARK AND RECREATION DISTRICT (“WPRD”) EFFECTIVE DATE: July ___, 2016 RECITALS A. ORS 190.010 provides that units of local government may enter into agreements for the performance of any and all functions and activities that any party to the agreement, its officers, or agents have authority to perform. B. City is the owner of that certain real property (the “Property”) referred to herein as Map and Tax Lot No.s: 17-03-35-00-00307, 18-03-01-00-00700, 18-03-01-00-00400, 18-03-01-00- 00200, 18-02-06-00-01009, 18-02-06-00-01008, and 18-02-06-00-01606, all located in Lane County, Oregon, and as further depicted in Exhibit A, attached hereto and hereby incorporated herein. C. WPRD intends to construct a public multi-purpose path (the “Mill Race Path”) for pedestrian, bicycle, and recreational use, a portion of which will cross the Property. D. WPRD desires to obtain temporary construction access over a portion of the Property for the purposes of constructing the Mill Race Path. City is willing to grant temporary construction access to WPRD on the terms and conditions set forth in this Agreement. E. Following completion of construction, WPRD desires to obtain a non-exclusive permanent easement over a portion of the Property for the purposes of accessing, operating, maintaining, repairing and re-constructing the Mill Race Path. City is willing to grant a non- exclusive permanent easement to WPRD on the terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration for the foregoing and the mutual covenants contained herein, the parties agree as follows: CONTRACT #1697 AIS ATTACHMENT 1, Page 1 of 5 INTERGOVERNMENTAL AGREEMENT (MILL RACE PATH) – PAGE 2 OF 4 (422464) 1. Construction Access. Subject to the terms set forth in this Agreement, City authorizes WPRD, its employees, contractors, and agents to access portions of the Property, identified in Exhibit A and further described below, for purposes of access and construction of the Mill Race Path. a. Mill Race Path Access. This Path Access shall be in the approximate location of the Mill Race Path alignment shown on Exhibit A and shall be of sufficient width for construction of the Mill Race Path. b. Duration. The access granted herein for purposes of Mill Race Path construction is temporary and shall be void upon the recording of the Permanent Easement. 2. Legal Description for Mill Race Path. Following completion of construction of the Mill Race Path, WPRD shall, at its own expense, obtain a legal description for the segment of the Mill Race Path that crosses the Property. 3. Permanent Easement. Following completion of construction of the Mill Race Path and once WPRD has obtained a legal description, as set forth in Paragraph 2, City agrees to grant and convey to WPRD a perpetual, non-exclusive easement (the “Permanent Easement”) for accessing, using, operating, maintaining, repairing and re-constructing the Mill Race Path. 4. Indemnification. WPRD agrees to indemnify, reimburse, provide contribution and hold City harmless and defend City for, from and against any and all claims, costs, expenses (including attorney fees), losses, damages, fines, charges, actions, or other liabilities of any description, arising out of or in any way connected with WPRD’s construction of the Mill Race Path. 5. Non-Waiver. WPRD is entitled to all protections under Oregon law, statutes and Constitution including, but not limited to, the Oregon Tort Claims Act (ORS 30.260- 30.300) and the Recreational Immunity Act (ORS 105.668-105.699). Nothing herein shall be construed as any waiver of either party’s rights and protections under the Oregon Tort Claims Act or the Recreational Immunity Act. 6. Modifications. Each party designates the following person as its representative for purposes of administering this Agreement. Either party may change its designated representative by giving notice to the other as provided in Paragraph 10. Assignment. Neither party shall assign this Agreement, in whole or in part, or any right or obligation hereunder, without the other party’s written approval. 9. Compliance with Laws and Regulations. Each party shall comply with all applicable federal, state, and local laws, rules, ordinances, and regulations at all times. 10. Land Use. Nothing in this agreement shall be construed as waiving any requirements of state law or regulations of the Springfield Development Code and Springfield Municipal Code that may be applicable to the use and development of the Mill Race Path. Nothing herein shall be construed as the City providing or agreeing to provide approval of any land use, building, or other development application submitted by WPRD. 11. Notices. Any notices permitted or required by this Agreement shall be deemed given when personally delivered or upon deposit in the United States mail, postage fully prepaid, certified, return receipt requested, addressed to the representative designated in Paragraph 7. Either party may change its address by notice given to the other in accordance with this paragraph. 12. Integration. This Agreement embodies the entire agreement of the parties. There are no promises, terms, conditions or obligations other than those contained herein. This Agreement shall supersede all prior communications, representations, agreements, either oral or written, between the parties. 13. Interpretation. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Oregon.
